Terms of Service
Last updated 29 October 2026
These terms are the agreement between ShopCera ("ShopCera", "we", "us") and the person or business that creates a ShopCera account ("you"). They cover your use of shopcera.com, your dashboard and your online store.
By creating an account or using ShopCera you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the service.
1. What ShopCera is
ShopCera is software that lets a small business run an online store: a storefront, product and service listings, orders, bookings, customer records, messaging and reports. You are the seller. ShopCera provides the tools and is not a party to any sale between you and your customers.
2. Your account
- You must be at least 18 and able to enter a binding contract, or be acting for a business that is.
- Give accurate details and keep them up to date.
- Keep your password secret. You are responsible for what happens under your account, including what your team members do, so only invite people you trust and remove them when they leave.
- Tell us straight away at support@shopcera.com if you think someone has accessed your account without permission.
3. Plans, free trial and billing
New accounts start with a 14-day free trial. No card is needed to start. When the trial ends, your store stays online only if you have subscribed to a paid plan.
Paid plans are billed monthly or yearly in advance through our payment partners (Paystack or Flutterwave). Your subscription renews automatically at the end of each period until you cancel. You can change plan or cancel from the Billing page in your dashboard; cancelling stops the next renewal and your plan runs to the end of the period you have paid for. Fees already paid are not refunded unless the law requires it or we say otherwise in writing.
If a renewal payment fails we retry for a short grace period and tell you by email. If it still fails, your store is suspended until the subscription is paid.
We may change plan prices or limits. We will give you at least 30 days' notice by email or in your dashboard, and the change applies from your next renewal. Prices are shown in the currency on the plan page and may exclude taxes, which you are responsible for.
Plan limits (products, services, team members, orders, storage, messages) are shown on each plan. If you reach one you can upgrade; we may stop you adding more until you do.
4. Your store and your content
You are responsible for everything you list and sell: descriptions, photos, prices, stock, delivery, bookings, refunds, returns, warranties and customer service. You must meet the laws that apply to your business, including consumer protection, advertising, tax and licensing rules.
You keep ownership of your content (text, images, logos, product data). You give us a licence to host, copy, display and process it only as needed to run and improve the service for you, including showing it on your storefront.
You must have the right to use everything you upload. Don't upload content that infringes someone else's rights.
5. Payments from your customers
Customers can pay you by cash on delivery, bank transfer, or card. For card payments you connect your own Paystack or Flutterwave account. Those payments go to your provider account under your agreement with them, not through us. We do not hold your customers' money, and we are not a bank or payment institution.
Any transaction fee shown on your plan is our charge for the service. The payment provider's own fees are separate and set by them.
Bank transfer and cash-on-delivery arrangements are between you and your customer. You are responsible for confirming payment before you hand over goods or services.
6. What you may not do
You may not use ShopCera to:
- sell anything illegal, counterfeit or stolen, or anything you aren't licensed to sell (for example weapons, illegal drugs, or regulated products without the proper approvals)
- deceive customers, take payment for goods or services you don't intend to provide, or run scams or pyramid schemes
- sell adult sexual content, or content that exploits or endangers children
- send spam, or send messages to people who haven't agreed to hear from you
- attack, probe or overload the service, bypass its limits, scrape it, or reverse engineer it
- collect other people's personal data without a lawful reason, or misuse customer data
- resell or share the service in a way we haven't agreed to
7. Your customers' personal data
When shoppers place orders or book with you, you collect their personal data (name, phone, email, address, order details). For that data you decide why and how it is used, so you are responsible for handling it lawfully under the Nigeria Data Protection Act 2023 and any other law that applies to you. ShopCera processes it for you, to run your store, under our Privacy Policy.
Tell your customers how you use their data. Each store has an editable privacy policy page you can use for this. Only use customer data for running your business, and only message people who have agreed to it.
8. Messages (email and SMS)
If you send SMS or email through ShopCera, you are the sender. You must have a lawful basis to contact each person, include a way to opt out where the law requires one, and keep to the rules of the telecom provider and sender-name registrations. SMS sends use your plan's monthly allowance, and we can block messages that look abusive.
9. Subdomains and custom domains
Every store gets an address on shopcera.com. On plans that include it you can connect a domain you own by adding the DNS records we show you. You must actually own or control the domain. We may disconnect a domain that isn't yours, that breaks these terms, or if you leave the plan that includes it. Your store goes back to its shopcera.com address. We are not responsible for your domain registration, renewal or DNS provider.
10. Availability and changes to the service
We work to keep ShopCera running, but we can't promise it will always be available or error-free. There may be maintenance, outages, and problems with services we depend on (hosting, payment providers, SMS and email carriers, couriers).
We keep improving the product, so features may change or be retired. If we remove something you rely on in a way that materially hurts you, we will give you reasonable notice.
11. Suspension and ending your account
You can stop using ShopCera and cancel your plan at any time. You can ask us to delete your account and store.
We may suspend or close an account, with notice where reasonable, if you break these terms, don't pay, put customers or us at risk, or if the law requires it. Where we can, we will tell you why and give you a chance to fix the problem.
Before you leave, make a copy of anything you need from your dashboard, or email support@shopcera.com and we will send you your store data in a common format. After an account is closed we delete or anonymise its data within a reasonable period, except what we must keep by law (for example billing records). See the Privacy Policy.
12. Our rights in the service
ShopCera, its software, design, themes and branding belong to us or our licensors. These terms give you the right to use the service while your account is active. They don't give you ownership of any of it. Feedback you send us may be used without obligation to you.
13. Disclaimers
The service is provided "as is" and "as available". To the fullest extent the law allows, we don't give any warranty that it will meet your needs, that sales will result, or that it will be uninterrupted or error-free. Nothing in these terms limits rights you have under law that can't be excluded.
14. Limit of liability
To the fullest extent the law allows, we are not liable for loss of profit, sales, goodwill or data, or for indirect or consequential loss, arising from your use of ShopCera. Our total liability to you for any claim related to the service is limited to the fees you paid us for the service in the 12 months before the claim arose.
Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
15. If someone makes a claim because of you
You agree to cover our reasonable losses and costs if a third party makes a claim against us because of your content, your products or services, your breach of these terms, or your breach of the law.
16. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If we have a disagreement, please write to us first at support@shopcera.com so we can try to settle it in good faith. If we can't, the courts of Lagos State have jurisdiction, unless the law gives you the right to bring a claim somewhere else.
17. Changes to these terms
We may update these terms. If a change matters, we will give you at least 14 days' notice by email or in your dashboard before it takes effect. If you keep using the service after that, you accept the update. If you don't agree, you can cancel before it takes effect.
